Which of the following most accurately describes the problem?

• One of the nominated nonexecutive directors of Tayside Public Transport Company, Philip Ridgway, of P S Ridgway, the Dundee haulage contractor, has declined to take up the post because he feels that, were he to do so, there might be a conflict of interests.

At a meeting of the regional council committee dealing with the setting up of the company, convener Ian Mackie moved that the vacancy, and another which still existed, str)uld be filled.

He moved that one post be taken by Alexander MacKay, a chemical and mechanical engineer, well qualified to make a valuable contribution to the company.

An amendment followed that no action be taken until after the regional elections; but this was defeated. Scott Ferguson, transport convener, proposed Donald Stewart, senior partner of Miller, McIntyre & Gellatly in Dundee, for the other vacancy, and this was approved.
