Which of the following most accurately describes the problem?

• Tate & Lyle Distribution Services (TLDS) is selling its contracts division, which provides third party warehousing and distribution services from seven UK depots, to Rockwood Holdings for £4.66 million.

Rockwood Holdings will create a new company called Rockwood Distribution Services (RDS) to operate alongside its existing distribution division, Bond's Delivery Service, which distributes some 40% of all the tobacco products in the UK. Rockwood will also take over the contracts division fleet of over 130 vehicles.

TLDS's managing director Tony Stanton will join Rockwood as managing director of the new company, while Stephen Henwood will take his place at TLDS.

For the financial year up to the end of September 1986, TLDS' Contracts Division made pre-tax profits of £367,000 on a turnover of .26.7 million. Its customers include Watney Mann Trueman, Lyons Tetley, Heinz, Nestle and William Morrison Supermarkets.

Tate & Lyle, which will continue to concentrate its transport activities on Silver Roadways, is one of the largest transport clearing houses in the UK, hiring or managing between 250-300 vehicles a day. A large proportion of these are for third party clients.
