Which of the following most accurately describes the problem?

CONTROVERSY is expected at the National Freight Consortium's third annual general meeting on February 23 when shareholders will vote on whether to appoint an NFC employee to the board.

A retired National Carriers regional director, Harry Batty, was elected shareholder director after last year's agm. Now shareholders attending the agm in Harrogate will be asked to decide whether there should also be a worker director.

The board is not recommending either to accept or reject the suggestion.

The possible justification is for all employees' interests, rather than just employee shareholders' interests, to be heard at board level. Against it, other companies' experiences have been unsuccessful and there is a view that employees should exercise their control through share ownership.

Shareholders will also be invited to extend share ownership to owner-drivers employed on sub-contract to NFC (mainly overseas) and to employees of NFC-managed companies like Sonitrol-Pickfords, the security equipment firm launched last year.

The board also wants existing 50p shares in NFC to be split into 10p shares.
