Which of the following most accurately describes the problem?

ei The board of United Carriers is recommending to shareholders that they accept a takeover bid by French logistics group Geodis.

UC managing director Russell Hodgson says: "It's a great opportunity to be part of an enlarged organisation, and that will enhance the opportunities that are open to all our employees.'

Geodis operates a range of pan-European services including shipping, express parcels, freight distribution, sea freight forwarding and warehousing. Other companies in the group include Cavewood, Calberson and Geodis Logistics. The group employs 22.000 people and has a fleet of 15,000 vehicles in more than 40 countries across Europe.

United Carriers has a fleet of 18,000 vehicles and 2,500 employees in the UK. Hodgson says the take-over would enable it to move into new areas such as time and heavyweight deliveries. He expects it to be "a swift transaction".
