Which of the following most accurately describes the problem?

Brick Transpor1(Scolland) was a firm run by among others, William Cusack. Formed as a management buy-out of the transport operation of Glasgow Brick Yard in 1999 it was taken over by Grampian plc in July 2000.

The plan was to combine it with the operation of John Smillie — a long-standing Glasgow haulage firm that had also been bought by Grampian. However, Brick Transport (Scotland) ceased trading in August that year with debts of around E750,000, blaming problems with its major customer and difficult trading conditions.

John Smillie continued to trade but acquired the lease for several former Brick Transport vehicles. A subsequent investigation commissioned by one of the major creditors concluded: The activities of Mr Cusack [and others] plus their various appointments to director level in a number of companies can only be described as furious and fortuitous and the acauisition of some four or five companies conveniently occur on or prior to the demise of Brick Transport (Scotland) Ltd."

John Smillie continued to trade until May 2001 when it too was placed into liquidation with debts of over E250,000. It also blamed problems with its biggest customer and cited losses due to the weather.

A memo dated 14 May and signed by Cusack suggests that as of 21 May 2001 the business previously carried out by Brick Transport would be continued by Grampian Brick Distribution, a division of Timber Transport which was run by Cusack and Hamilton.

Timber Transport has since ceased to trade, although has not been officially wound up.
