Which of the following most accurately describes the problem?

• Eaton is to buy a complete medium weight truck gearbox product line from Clark Equipment Company, a rival American transmission manufacturer.

Under the agreement, Eaton pays Clark $16 million (210 million) for tooling, parts stock and the parts business for the four-, fiveand six-speed synchromesh Clark gearboxes which are fitted in some American Class six and seven (medium weight) trucks.

Clark will manufacture the gearboxes for Eaton for ten years at its Brazilian plant, to Eaton engineering and design standards.

Eaton will have worldwide marketing rights for the gearboxes, but a spokesman for Eaton Truck Components Europe says: "It is most unlikely we will see the Clark gearboxes here."
